L’ARC considère présentement que la fusion verticale intervenue postérieurement au transfert intergénérationnel entre deux sociétés a pour effet, par l’application de l’alinéa 87(11)a) LIR, de constituer une «disposition réputée» des actions par l’acheteur et que cette disposition réputée constitue une «disposition» au sens de l’ancien alinéa 84.1(2)e) LIR, puisqu’elle serait survenue dans les soixante (60) mois suivant l’acquisition, générant donc un gain en capital. Or, selon la définition de «Disposition» à 248 LIR, la fusion des sociétés ne donne pas lieu à une disposition des actions de la filiale, mais l'ARC fonde la déchéance uniquement sur la fiction prévue au paragraphe 87(11) LIR.
